This Subscriber Service Agreement, (the "Agreement") governs the relationship between you ("Subscriber") and Kids-World.net, a division of SecurityBase.com, Inc., a Nevada corporation ("Kids-World") with respect to Kids-World's online day care telecommunication service.

This Agreement may be amended from time to time without obtaining Subscriber's approval, provided that Kids-World will give Subscriber advance notice of any rate changes. Any such amendment shall take effect thirty (30) days after the amendment is posted on the Kids-World's website, currently "www.kids-world.net" (the "Site") or otherwise provided to Subscriber. Subscriber may terminate this Agreement as provided below if he or she feels any amendment is unacceptable. Subscriber agrees to review the Site periodically to be aware of such amendments. Subscriber's continued use of Kids-World following the effective date of any amendment will constitute acceptance of all such amendments.

License
DURING THE TERM OF THIS AGREEMENT, KIDS-WORLD HEREBY GRANTS SUBSCRIBER A LIMITED, NONEXCLUSIVE, NONSUBLICENSEABLE LICENSE TO USE THE WEBSITE FOR VIEWING DAYCARE CENTER ACTIVITIES, AS FURTHER DESCRIBED IN THIS AGREEMENT. SUCH LICENSE MAY BE TERMINATED AT ANY TIME BY KIDS-WORLD. IF SUBSCRIBER IS TERMINATED BY KIDS-WORLD FOR ANY REASON, SUBSCRIBER WILL NO LONGER HAVE ACCESS TO OR BE ABLE TO USE THE KIDS-WORLD SITE.

Application; Password
Subscriber must complete and sign the attached Kids-World application (the "Application") and submit it to Kids-World. In an effort to protect the interests of each Subscriber and their children and/or the Center, Kids-World may refuse to accept Subscriber's Application and may reject any Application without providing Subscriber with a reason for its determination. If Subscriber's Application is accepted, Kids-World will activate Subscriber on Kids-World and assign Subscriber a Kids-World account (the "Account") and a unique password that will allow Subscriber to access the Site. Employees or representatives of Kids-World will never ask Subscriber for his/her password. Subscriber is solely responsible for the security and use of his/her password. KIDS-WORLD REQUIRES THAT SUBSCRIBER NEVER RESPOND TO A REQUEST FOR HIS/HER PASSWORD IN AN EFFORT TO SAFEGUARD THE PRIVACY OF SUBSCRIBER AND OTHERS.

If there are ever any changes to the information Subscriber provides in the Application, particularly the credit card information, Subscriber shall promptly notify Kids-World of such change.

Access
Subscriber will access the Site through his/her residential or business telephone line, a modem, a personal computer, and his/her regular Internet service provider. A variety of personal computers, devices and Internet service providers can grant Subscriber access to the Site. Unauthorized access to the Site could result in immediate termination of Subscriber's Account and civil and criminal liability.

Subscriber may permit another individual, including a minor, to use his/her password subject to the following limitations: Subscriber must agree to (1) supervise the other individual's use of Kids-World, (2) assume any and all resulting liabilities of such use, including responsibility for any and all Content (as defined herein) accessed on the Site, (3) hold Kids-World, its affiliates, any of their respective officers, directors, shareholders, employees and other agents (herein "Agents") harmless for any such use of Kids-World by a person other than Subscriber, and (4) acknowledge that the decision to allow another individual to use his/her password is made by Subscriber and not Kids-World.

Fees
For providing the Kids-World service to Subscriber, Subscriber agrees to pay Kids-World, as applicable, a non-refundable Initial Set-Up Fee and Basic Monthly Service Fees plus any applicable sales and use taxes (to be charged on a timely basis to the credit card Subscriber indicates) in accordance with the attached Rate Schedule and Application.

Confidentiality; Privacy
Subscriber agrees to keep confidential and not to divulge or deliver Subscriber's password. In its discretion, however, Kids-World is permitted to use Subscriber Information (as defined below), to administer Kids-World and offer Subscriber opportunities Kids-World thinks will be of interest. [Optional----Kids-World actively participates in industry associations and other groups to support effective marketing of consumer and other products in the interactive environment].

Subscriber Information is any information, data or records that identifies Subscriber. The Information includes the following: identity information, such as Subscriber's name, street address, telephone number, e-mail address, and any screen names associated with Subscriber.

Subscriber consents to Kids-World's disclosure of Subscriber Information to the general public and any other information furnished by Subscriber to Kids-World to any governmental, regulatory or self-regulatory authority as required by law or deemed necessary by Kids-World.

Content
The Kids-World Site is a private online service that allows monitoring of daycare centers, but is not the Internet or an Internet access provider. Kids-World does not control the content, services, or areas available through the Internet (except for the Site), and providers of Internet sites or services have separate data and privacy practices independent of Kids-World.

Subscriber agrees that the information, communications, photos, graphics, and other material and services posted on the Site (collectively "Content") will be used solely for the purpose of monitoring activities taking place at the daycare center or centers selected by Subscriber in the Application (the "Center"). At a minimum, Kids-World owns a copyright in the selection, coordination, arrangement and enhancement of such Content.

Subscriber acknowledges and agreees that the Content posted on the Site is confidential and proprietary to the Center and the Center and/or Kids-World may incur damages, losses and costs if such Content is provided or otherwise made available to unrelated third parties in violation of this Agreement.

Subscriber acknowledges that such Content is subject to certain legal rights (including the rights of publicity and privacy) of others and that Kids-World is not responsible for the accuracy, completeness, timeliness or usefulness of the Content that is placed on and distributed through Kids-World.

Subscriber and any user of Subscriber's Account must evaluate, and bear the risk associated with any reliance on the accuracy, completeness, timeliness or usefulness of any Content. Kids-World does not pre-screen Content as a matter of policy; however Kids-World, its affiliates, and the Center shall have the right, but not the responsibility, to remove Content that they deem harmful, offensive or otherwise in violation of this Agreement. Accordingly, Subscriber acknowledges that neither Kids-World, its affiliates, nor the Center shall assume or have any liability for any action or inaction by Kids-World or its affiliates, or the Center, with respect to Content on, or Content changes within, the Site.

KIDS-WORLD IS NOT INTENDED TO SERVE AS A SECURITY SYSTEM FOR EVENTS THAT TAKE PLACE AT ANY CENTER. ACCORDINGLY, KIDS-WORLD IS NOT OBLIGATED TO TAKE ANY STEPS TO PREVENT OR CORRECT ANY ABUSIVE OR OTHERWISE INAPPROPRIATE ACTIVITY WHICH APPEARS AS CONTENT ON THE KIDS-WORLD SERVICE. NOR IS KIDS-WORLD OBLIGATED TO ARCHIVE OR OTHERWISE MAINTAIN VIDEOTAPE OR OTHER REPRODUCTION OF THE CONTENT WHICH APPEARS ON THE KIDS-WORLD SERVICE FOR FUTURE REFERENCE. IN ADDITION, KIDS-WORLD IS NOT OBLIGATED TO TAKE ANY STEPS TO VERIFY THE ACCURACY, COMPLETENESS, TIMELINESS OR USEFULNESS OF ANY CONTENT INCLUDED IN KIDS-WORLD.

NEITHER KIDS-WORLD, INC., ITS AFFILIATES NOR THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, AGENTS AND EMPLOYEES MAKES ANY WARRANTY, EXPRESS OR IMPLIED, OF ANY KIND WHATSOEVER, AND NONE OF THESE PARTIES SHALL BE LIABLE FOR ANY LOSSES, DAMAGES, COSTS OR EXPENSES, OF EVERY KIND AND DESCRIPTION (INCLUDING INDIRECT, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES), RELATING TO THE ACCURACY, COMPLETENESS, TIMELINESS OR USEFULNESS OF ANY CONTENT ON THE SITE, THE USE OF CONTENT ON THE SITE, OR THE QUALITY OF USAGE OR THE RESULTS THAT MAY BE OBTAINED FROM THE KIDS-WORLD SERVICE. THE SERVICE IS BEING PROVIDED ON AN "AS IS" BASIS AND KIDS-WORLD DOES NOT MAKE ANY WARRANTIES, EXPRESS OR IMPLIED, OF ANY KIND AS TO KIDS-WORLD, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. KIDS-WORLD DOES NOT REPRESENT OR WARRANT THAT KIDS-WORLD WILL NEVER BE SUSPENDED OR TERMINATED.

Proprietary Rights
Subscriber acknowledges the following:

(i)	Kids-World permits access to Content that is protected by copyrights, trademarks, and other intellectual and proprietary rights ("Rights");
(ii)	these rights are valid and protected in all media and technologies existing now or later developed; and
(iii)	except as explicitly provided otherwise, the Agreement, applicable copyright and other laws govern Subscriber's use of Content.

Subscriber agrees that it may upload to only Content that (1) is not subject to any rights, or (2) any holder of Rights has given express authorization for distribution on the Site. Subscriber represents that if he/she uploads any files, Subscriber has the legal authorization to do so. Subscriber agrees that Kids-World may employ virus-checking technology to protect its system and its members from viruses. By submitting Content to any area of the Site, Subscriber grants Kids-World, Inc. and its affiliates the royalty-free, perpetual, irrevocable, non-exclusive right (including any moral rights) and license to use, reproduce, modify, adapt, publish, translate, create derivative works from distribute, communicate to the public, perform and display the Content (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or later developed, for the full term of any rights that may exist in such Content. Subscriber also warrants that the holder of any Rights, including moral rights in such Content, has completely and effectively waived all such rights and validly and irrevocably granted to Subscriber the right to grant the license stated above. Subscriber also permits other Kids-World members to access the Content for personal use. Subject to the foregoing, the owner of Content placed on Kids-World retains any and all rights that may exist in such Content.
